Investor rights & redemption logic
Tokenization does not automatically grant enforceable investor rights. Ownership claims, redemption eligibility, timing, and priority are defined by the legal structure and offering documents — not by the token itself. Redemption logic is where tokenized products succeed or fail in real markets.
Research Type: Legal Actor: Investor Rights Scope: Redemption & enforceability
What investor rights actually mean in tokenized products
Ownership rights Legal entitlement to the underlying asset or claim, defined by the wrapper (fund, trust, SPV), not by possession of the token alone.
Redemption rights Conditions under which an investor can convert tokens into cash or assets, including eligibility, frequency, notice periods, and settlement mechanics.
Priority & ranking Determines whether investors rank pari passu, subordinated, or senior in liquidation or stress scenarios.
Governance & protections Voting rights, information rights, suspension clauses, and investor protection mechanisms embedded in legal documents.
Redemption logic (why this is the real stress point)
Who can redeem Often restricted to eligible investors, authorized participants, or whitelisted holders — not all token holders.
When redemption occurs Redemption windows, cut-off times, lock-ups, and settlement cycles are legally defined and may not be instantaneous.
What is delivered Cash, underlying assets, or equivalent value — depending on structure and jurisdiction.
Failure mode Tokens trade freely on-chain while redemption is suspended, gated, or unclear — creating a mismatch between price and reality.
CryptoWisely insight
CryptoWisely Insight: Markets price redemption certainty, not token features. If investors cannot clearly understand who can redeem, when, and under what conditions, tokenization increases operational risk instead of reducing it.
